CodeGen Group is seeking an accomplished and strategic Head of Legal to lead and manage the Group's legal function across multiple entities and jurisdictions. This role will be the principal advisor to senior management on all legal matters, with a particular emphasis on international commercial contracts, employment law, and compliance. The ideal candidate will bring extensive corporate law expertise, a strong business mindset, and the agility to navigate complex, multi-jurisdictional legal challenges in a dynamic and innovative environment.
Key Responsibilities
- Provide expert legal counsel to the Board, Group CEO, and senior management on domestic and international legal and regulatory matters.
- Lead and manage the legal team, overseeing internal counsel and coordinating with external legal advisors across multiple jurisdictions.
- Draft, review, and negotiate a wide range of agreements, including cross-border commercial contracts, technology partnerships, vendor agreements, client engagements, and employment contracts.
- Advise on employment and labor law matters, ensuring the Group's policies and practices comply with relevant regulations in each operating location.
- Manage and oversee all litigation, legal disputes, compliance investigations, and regulatory inquiries globally.
- Ensure adherence to corporate governance standards, data privacy requirements, intellectual property protections, and applicable labor laws.
- Develop proactive legal strategies to mitigate risk and safeguard the Group's assets, reputation, and interests.
- Support mergers, acquisitions, joint ventures, and other corporate transactions, ensuring legal integrity in all business development initiatives.
Prerequisites
- A Juris Doctor (J.D.) degree or equivalent from an accredited law school.
- Active license to practice law and in good standing in the relevant jurisdiction(s).
- Minimum of 8 years' post-qualification experience in corporate or commercial law, including 3 to 5 years in a senior leadership role.
- Demonstrated experience in international contract negotiation and employment law.
- Proven ability to manage a legal function and work effectively with cross-border external counsel.
- Strong knowledge of commercial, employment, intellectual property, data privacy, and corporate governance laws.
- Exceptional analytical, negotiation, and communication skills, with the ability to present complex legal issues clearly to non-legal stakeholders.
